Governing Law & Jurisdiction
These terms & conditions, and any disputes arising out of or in connection with your use of this website, shall be governed by and construed in accordance with the laws of Singapore.
Any dispute, controversy, or claim arising out of or in connection with this website or these terms & conditions, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Singapore International Arbitration Centre (“SIAC“) Rules. The arbitration shall be conducted in Singapore, in the English language, and shall be decided by a sole arbitrator appointed in accordance with the SIAC rules.
Personal Data Protection Notice (Privacy Policy)
This Personal Data Protection Notice (“Notice”) describes how we, everstead law llc, collect, use, disclose, manage, or otherwise process “personal data“, which is data whether true or not, about an individual who can be identified: (a) from that data; or (b) from that data and other information to which we have or are likely to have access.
Depending on the nature of your interaction with us, some examples of personal data we may collect include your name, contact information, nationality, ethnic background, religious affiliation, gender, date of birth, marital status, images, identification numbers, personal history, and financial records.
The Personal Data We Collect
We generally do not collect your personal data unless one of the following applies: (a) it is provided to us voluntarily by you directly or via a third-party who has been duly authorised by you to disclose your personal data to us (your “authorised representative”) after: (i) you (or your authorised representative) have been notified of the purposes for which the data is collected; and (ii) you (or your authorised representative) have provided written consent to the collection and usage of your personal data for those purposes; or (b) collection and use of personal data without consent is permitted or required by Singapore’s Personal Data Protection Act 2012 (“PDPA“) or other applicable laws. We shall seek your consent before collecting any additional personal data and/or using it for a purpose which has not been notified to you (except where permitted or authorised by applicable laws).
In the course of our interactions, you may provide personal data to us, as clients or other parties involved in our work, and by submitting your own or another individual’s personal data, you confirm that you and such other individual agree to our collection, use, and disclosure of personal data in accordance with this Notice. Please do not send us any personal data if you do not want it to be used in this way. Your personal data may also be provided by someone on your behalf, in which case, we will assume — until notified otherwise — that you have authorised the disclosure of your personal data to us.
We generally rely on personal data provided by you (or your authorised representative). In order to ensure that your personal data is current, complete and accurate, please update us if there are changes to your personal data by informing our Data Protection Officer in writing or via email at the contact details provided below
When you use our website, you are not required to provide any personal data on the public areas of the site. However, you may choose to provide us with information by contacting us, including for subscription to our publications, client alerts, and client events, and for career enquiries or applications.
Use and Disclosure of Personal Data
We only use and disclose personal data:
• to provide publications and communications which we think you will find valuable;
• to invite you to events we think you will be interested in;
• to deliver, enhance and improve our services to you, our clients or other interested parties and relevant stakeholders;
• to manage our relationship with you, our clients or other interested parties;
• to fulfil our legal and professional obligations, and protect our legal interests and rights;
• for the purposes of recruitment and other legitimate business purposes;
• for any other purposes for which you have provided information or which is related to, incidental or in connection with any of the above; and
• for transmission to any unaffiliated third-parties including our service providers and agents, and relevant governmental and/or regulatory authorities, whether in Singapore or abroad, for the aforementioned purposes.
We do not sell or otherwise make personal data commercially available to any third-party, except as described in this Notice or with your prior permission.
Please note, that in compliance with the PDPA, we may collect, use or disclose personal data without consent where necessary for our legitimate interests (or another person). In doing so, we will assess the likely adverse effects on the individual and determine that the legitimate interests outweigh any adverse effect. Examples of this include the detection and prevention of fraud, crime and misuse of services, credit analysis and for the protection of our data and the prevention of its loss.
Please note that the foregoing may continue to apply even in situations where your relationship with us (for example, pursuant to a contract) has been terminated or altered in any way, for a reasonable period thereafter.
Sharing of Data Across Our Professional Network & Transfers Outside of Singapore
In doing the above, we may transfer the personal data provided overseas to any of our offices, affiliates or unaffiliated third-parties including our service providers and agents located in countries which may not have well-developed data protection legislation. However, we will ensure that the processing thereof complies with our security measures. If in the future we reorganise our business, we may need to transfer the personal data provided to a new entity or third-party through which we provide services.
Security & Retention
To safeguard your personal data from unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks, we have introduced appropriate administrative, physical and technical measures such as authentication and access controls (such as good password practices, need-to-basis for data disclosure, etc.), regular patching of operating system and other software, usage of one time password (otp) / 2-factor authentication (2fa) / multi-factor authentication (mfa) to secure access, regular security reviews and testing.
You should be aware, however, that no method of transmission over the internet or method of electronic storage is completely secure. While security cannot be guaranteed, we strive to protect the security of your information and are constantly reviewing and enhancing our information security measures. We will take reasonable care to implement security measures which safeguard against unauthorised or unlawful access to, or alteration, disclosure or destruction of, your personal data. If our data processing is carried out by a third-party, we will require that they adhere to our standards.
We may retain your personal data for as long as it is necessary to fulfil the purpose for which it was collected, or as required or permitted by applicable laws.
We will cease to retain your personal data, or remove the means by which the data can be associated with you, as soon as it is reasonable to assume that such retention no longer serves the purpose for which the personal data was collected, and is no longer necessary for legal or business purposes.
Your Rights (Access & Correction)
If you wish to make: (a) a request for access to a copy of the personal data which we hold about you or information about the ways in which we use or disclose your personal data, or (b) a request to correct or update any of your personal data which we hold about you, you may submit your request in writing or via email to our Data Protection Officer at the contact details provided below. Please note that a reasonable fee may be charged for an access request. If so, we will inform you of the fee before processing your request.
We will respond to your request as soon as reasonably possible. In general, our response will be within ten (10) business days. Should we not be able to respond to your request within thirty (30) days after receiving your request, we will inform you in writing within thirty (30) days of the time by which we will be able to respond to your request. If we are unable to provide you with any personal data or to make a correction requested by you, we shall generally inform you of the reasons why we are unable to do so (except where we are not required to do so under the PDPA).
Opt-Out & Withdrawal of Consent
The consent that you provide for the collection, use and disclosure of personal data will remain valid until such time it is being withdrawn by you in writing. You may withdraw consent and request us to stop collecting, using and/or disclosing the personal datay you have provided for any or all of the purposes listed above by submitting a request in writing or via email to our Data Protection Officer at the contact details provided below.
Upon receipt of the written request to withdraw your consent, we may require reasonable time (depending on the complexity of the request and its impact on our relationship with you) for your request to be processed and for us to notify you of the consequences of us acceding to the same, including any legal implications which may affect your rights and liabilities to us. In general, we shall seek to process your request within ten (10) business days of receiving it.
Whilst we respect your decision to withdraw your consent, please note that depending on the nature and scope of your request, we may not be in a position to continue providing our services to you and we shall, in such circumstances, notify you before completing the processing of your request. Should you decide to cancel your withdrawal of consent, please inform us in writing.
Please note that withdrawing consent does not affect our right to continue to collect, use and disclose personal data where such collection, use and disclose without consent is permitted or required under applicable laws.
By not informing us or unsubscribing, we will assume we have your implied consent to use the personal data provided as described above.
